The company is owned by shareholders, and the company's shares are privately registered and not freely transferable. It is a company with limited liability, the shareholders are not personally liable for the debts of the company, but only for the value of their investment. A S.M.M. is required to have a share capital of at least GD 25,000 (approximately €16,230).

When a Sharikat zat Massouliyyah Mahdooah is created, a deed of incorporation is executed and filed. The deed contains the Articles of Association, consisting of at least:

  • the company name (which must begin or end with "Sharikat zat Massouliyyah Mahdooah" or "S.M.M.");
  • the city where the company has its registered seat;
  • the purpose of the company;
  • the authorized capital in Gandhari dinars and its division in shares;
  • the conditions for share transfer.
